A significant change is coming to UK company administration that will affect every company director and person with significant control (PSC). Under the Economic Crime and Corporate Transparency Act 2023, identity verification is becoming mandatory for all company officers from autumn 2025, although the exact date has not yet been confirmed. This new legal requirement represents the most substantial change to company compliance obligations in recent years.

Understanding the New Requirements

The identity verification process has been introduced to prevent the misuse of companies for illegal purposes and enhance the integrity of the UK’s corporate register. All company directors and PSCs must verify their identity before the autumn 2025 deadline, regardless of company size, sector, or incorporation date.

Key Timeline and Requirements

Current Status: Identity verification is available now on a voluntary basis, with Companies House strongly encouraging early action to avoid potential delays. This is particularly sensible for charities as trustees operate on a voluntary basis and for companies with large numbers of directors.

Mandatory Deadline: Autumn 2025 – exact date to be confirmed by Companies House.

Consequences of Non-Compliance: Directors who fail to verify their identity will face a range of issues:

  • Inability to file confirmation statements or other company documents
  • Potential financial penalties
  • Prohibition from starting new companies
  • Commission of a criminal offence

The Two-Step Verification Process

Step 1: Identity Verification and Personal Code Generation

Directors must verify their identity through one of three approved methods and will receive a unique Companies House personal code. This code is personal to the individual, not the company, and must be kept secure for future use.

a. Online via GOV.UK One Login

The most convenient option for those with appropriate identity documents and UK addresses. This digital service allows immediate verification from any location with internet access. We recommend this as a free and convenient method for most of our clients

b. In-Person at Selected Post Offices

Available for UK residents who cannot complete online verification. This option requires using the ‘Verify your identity for Companies House’ service first to determine eligibility.

c. Authorised Corporate Service Provider (ACSP)

Professional verification through registered agents such as accountants, solicitors, or other authorised corporate service providers. This option is particularly valuable for directors who cannot use the online service or those based outside the UK.

Step 2: Linking Verified Identity to Company Records

From autumn 2025, directors will need to provide their personal code and complete a verification statement for each company role they hold. Companies House will release detailed guidance on this process in the coming months.

Preparing for Compliance

Immediate Actions for Directors

Verify Current Company Information: Ensure Companies House holds accurate details for all directors and PSCs. Identity verification will fail if personal information on identity documents doesn’t match the registered data.

Gather Required Documents: Prepare appropriate identity documents including passport, driving licence, or other acceptable forms of identification.

Consider Timing: With autumn 2025 as the deadline, early action is advisable, particularly for companies with multiple officers or international directors.

Review Company Structure: Identify all individuals who need to complete verification, including directors, PSCs, and any other relevant officers.

Common Compliance Challenges

Document Discrepancies: Mismatches between identity documents and Companies House records can prevent successful verification. These issues must be resolved before attempting verification.

International Complexity: Directors based outside the UK may face additional requirements or longer processing times, making early action particularly important.

Multiple Role Complications: Individuals holding positions across multiple companies will need to link their single personal code to each role, requiring careful coordination.

The Broader Impact on Corporate Governance

This identity verification requirement represents part of the UK government’s broader strategy to enhance corporate transparency and combat economic crime. The changes align with international best practices and demonstrate the UK’s commitment to maintaining its position as a trusted jurisdiction for legitimate business activity.

Benefits for the Business Community

While the new requirements create additional compliance obligations, they also provide benefits:

  • Enhanced Trust: Verified company information increases confidence in UK corporate entities
  • Reduced Fraud Risk: Identity verification helps prevent the misuse of company structures
  • Improved Due Diligence: Third parties can have greater confidence in company officer information

Planning Your Verification Strategy

For Simple Situations

Directors with straightforward circumstances and UK addresses may find the GOV.UK One Login service sufficient for their needs.

For Complex Requirements

Companies with international directors, multiple officers, or complex corporate structures should consider professional ACSP support to ensure smooth compliance.

Ongoing Compliance Considerations

Identity verification is not a one-time requirement. Directors should understand how the system will work for future appointments, resignations, and company formations.

Next Steps and Professional Support

The introduction of mandatory identity verification represents a significant change in company administration requirements. While the process has been designed to be as straightforward as possible, the consequences of non-compliance are serious.

As autumn 2025 approaches, we recommend that company directors:

  1. Act Early: Begin the verification process as soon as possible to avoid potential delays
  2. Verify Company Information: Ensure Companies House holds accurate director and PSC details
  3. Assess Complexity: Determine whether professional ACSP support would be beneficial
  4. Plan Coordination: For companies with multiple officers, develop a systematic approach to verification
